1.On February 9, 2012, the stake of Sageview Capital Luxembourg, S.à r.l., L-
2440 Luxembourg, Grand Duchy of Luxembourg, having a share capital of EUR
1,000,000 and registered with the Luxembourg Register of Commerce and Companies
under number B-130828) in the voting rights in GfK SE, Nordwestring 101,
Nuremberg, Germany, fell below the threshold of 3% and, on that date, amounted
to 2.98% (voting rights arising from 1,086,486 no-par value ordinary shares
(Stammaktien); GfK SE has only issued ordinary shares). All such voting rights
in GfK SE were directly held by Sageview Capital Luxembourg, S.à r.l.
2.On February 9, 2012, the stake of Sageview Capital Master, L.P., Greenwich,
Connecticut 06830, USA, in the voting rights in GfK SE, Nordwestring 101,
Nuremberg, Germany, fell below the threshold of 3% and, on that date, amounted
to 2.98% (voting rights arising from 1,086,486 no-par value ordinary shares
(Stammaktien); GfK SE has only issued ordinary shares).
All such voting rights in GfK SE were attributed to Sageview Capital Master,
L.P. pursuant to section 22 (1) sentence 1 no. 1, sentence 3 WpHG through
Sageview Capital Luxembourg, S.à r.l.
3.On February 9, 2012, the stake of Sageview Capital GenPar, Ltd.,
Greenwich, Connecticut 06830, USA, in the voting rights in GfK SE, Nordwestring
101, Nuremberg, Germany, fell below the threshold of 3% and, on that date,
amounted to 2.98% (voting rights arising from 1,086,486 no-par value ordinary
shares (Stammaktien); GfK SE has only issued ordinary shares).
All such voting rights in GfK SE were attributed to Sageview Capital GenPar,
Ltd. pursuant to section 22 (1) sentence 1 no. 1, sentence 3 WpHG. These voting
rights attributed to Sageview Capital GenPar, Ltd. were directly held by
Sageview Capital Luxembourg, S.à r.l. and attributable to Sageview Capital
GenPar, Ltd. through the following chain of entities controlled by Sageview
Capital GenPar, Ltd. (beginning with the lowest): Sageview Capital Luxembourg,
S.à r.l. and Sageview Capital Master, L.P.
4.On February 9, 2012, the stake of Sageview Capital GenPar, L.P., Greenwich,
Connecticut 06830, USA, in the voting rights in GfK SE, Nordwestring 101,
Nuremberg, Germany, fell below the threshold of 3% and, on that date, amounted

threshold of 3% and, on that date, amounted to 2.98% (voting rights arising
from 1,086,486 no-par value ordinary shares (Stammaktien); GfK SE has only
issued ordinary shares).
All such voting rights in GfK SE were attributed to Mr. Scott M. Stuart
pursuant to section 22 (1) sentence 1 no. 1, sentence 3 WpHG. These voting
rights attributed to Mr. Scott M. Stuart were directly held by Sageview Capital

issued ordinary shares).
All such voting rights in GfK SE were attributed to Mr. Edward A. Gilhuly
pursuant to section 22 (1) sentence 1 no. 1, sentence 3 WpHG. These voting
